Licensing Terms and Conditions

This is a legal agreement between you together with your subsidiaries and affiliated companies, ("Licensee") and the Iconfactory, Inc. ("Iconfactory"). This agreement applies to licenses issued via the world wide web and local sales representatives, and is applicable to online, digital and analog (physical) delivery of licensed material.

1. Definitions

1.1 "Licensed Material" means any digital still image or icon, visual representation generated optically, electronically, digitally or by any other means including copies, prints, digital files or reproductions thereof of the material. Any reference in this Agreement to the Licensed Material shall be to each individual item within the Licensed Material and also to the Licensed Material taken as a whole.

2. Grant of Rights

2.1 The Licensed Material is not being sold; it is being provided to the Licensee under the terms of this agreement, which allows for use of Licensed Material but does not transfer ownership. Ownership remains with the Iconfactory.

2.2 This agreement does not allow for the use of Licensed Material in any existing BSD (Berkeley Systems Distribution) open source projects or applications.

2.3 Licensee has the perpetual, non-exclusive, non-transferable, non-sublicensable right to use the Licensed Material an unlimited number of times in any and all media for the following commercial or personal purposes (together the "Permitted Uses") subject to the restrictions set forth in the Agreement. Any uses other than the Permitted Uses must be approved by the Iconfactory in writing.

2.4 Licensee may alter, crop, manipulate and create derivative works of the Licensed Material.

2.5 Licensee's rights to the Licensed Material are worldwide and for the duration of the Iconfactory's rights in the Licensed Material. Licensee may exercise the rights granted in this agreement either directly or indirectly through the services of its employees, independent contractors or outsourcing companies, provided that third parties agree: (i) to use the Licensed Material only for Licensee’s benefit in accordance with this agreement; (ii) not to disclose or distribute any part of the Licensed Material; and (iii) to maintain the confidentiality of the Licensed Material.

2.6 Unauthorized use or failure to pay undisputed amounts in full when due results in termination of this license, and with it, Licensee's rights to use the Licensed Material; provided, however, that in the event Licensee does not pay in full an undisputed amount when due, Iconfactory shall provide notice of same to Licensee and Licensee shall have thirty (30) days from the date of such notice to make the required payment, if any.

3. Restrictions

3.1 Licensee may not sublicense, sell, assign, convey or transfer Licensed Material, this Agreement or any of its rights under this Agreement. Licensee may not include the Licensed Material in an electronic template intended to be reproduced by third parties on electronic or printed products.

3.2 Licensee may not sell, license or distribute any derivative work based on the Licensed Material.

3.3 Licensed Material shall not be incorporated into a logo, trademark or service mark.

3.4 Licensee may not post the Licensed Material online in a downloadable format or enable it to be distributed via mobile devices.

3.5 For the avoidance of doubt, Iconfactory acknowledges and agrees that Licensee may incorporate all or a portion of the Licensed Material and other derivative work or materials derived from the Licensed Material by Licensee in Licensee’s products and may distribute same (including the Licensed Materials) to one or more third parties in connection with such third parties’ use of Licensee’s products.

4. Copyright

4.1 No ownership or copyright in any Licensed Material shall pass to Licensee by the issuance of the license contained in this Agreement. Except as expressly stated in this Agreement, the Iconfactory grants to Licensee no right or license, express or implied, to the Licensed Material.

5. Indemnification, Termination & Revocation

5.1 The license contained in this Agreement will terminate automatically without notice from the Iconfactory if Licensee fails to comply with any material provision of this Agreement. Upon termination, Licensee must immediately (i) stop using the Licensed Material; (ii) destroy the Licensed Material; and (iii) delete or remove the Licensed Material from Licensee's premises, computer systems and storage (electronic or physical) and promptly confirm same to the Iconfactory in writing and fails to remedy or take reasonable steps to remedy such failure within thirty (30) days after receiving written notice of the failure from Iconfactory.

5.2 The Iconfactory reserves the right to revoke the license to use the Licensed Material for good cause and elect to replace such Licensed Material with alternative Licensed Material. Upon notice of any revocation of such license, Licensee shall immediately cease using such Licensed Material and shall where possible ensure that its clients and customers do likewise. Licensee shall delete all electronic copies of Licensed Material from its electronic storage media, confirming the same to the Iconfactory in writing.

6. Warranty and Limitation of Liability

6.1 The Licensed Material provided under the terms of this License are owned by the Iconfactory, Inc. . and Iconfactory has the right to grant the license contained in this agreement. Licensee is urged to fully test the Licensed Material prior to distribution of any software in which it is to be used and to bring any difficulties encountered to the attention of Iconfactory before such distribution. ICONFACTORY HEREBY DISCLAIMS ALL LIABILITY FOR INCIDENTAL, CONSEQUENTIAL AND SPECIAL DAMAGES ARISING OUT OF ANY DEFECTS IN MATERIALS AND WORKMANSHIP INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR USE.

6.2 Licensee shall defend, indemnify and hold the Iconfactory and its respective officers, directors and employees harmless from all damages, liabilities and expenses (including reasonable attorneys' fees and permitted and authorized costs), arising out of or as a result of claims by third parties relating to Licensee's use of any Licensed Material outside the scope of this Agreement and any other breach by Licensee of this Agreement.

6.3 These terms and conditions are all the terms and conditions that apply to this License. No other terms or prior understandings shall be used to alter the plain meaning of these terms or to expand the License unless subsequently agreed to in writing by the parties in amending this License. In the event of a dispute between the parties, they will attempt to settle the dispute in good faith first by negotiation, and, if negotiation is unsuccessful, by mediation, and if mediation is unsuccessful, by arbitration pursuant to the rules of the American Arbitration Association in effect at the time of arbitration. The arbitration, if it occurs, shall take place in Charlotte, North Carolina.

7. Publicity

7.1 Iconfactory shall not use the name, logos or trademarks of Licensee in promotional and marketing material or publicity releases, without the prior written consent of an officer of Licensee authorized to provide such consent. In the event that Licensee provides such written consent, all media releases, public announcements and public disclosures by Iconfactory or its employees or agents relating to this Agreement or the subject matter hereof, including promotional or marketing material (but not including any announcement intended solely for internal distribution at Iconfactory, as the case may be) shall be coordinated with and approved by Licensee prior to the release thereof.

Can I have custom metaphors created for existing stock sets?

Yes! The first step in this process is to complete the online request form and let us know what you are looking to have created. Do you sell stock icons individually instead of in sets?

No, the pre-designed sets of icons available at Stockicons.com are produced and sold as cohesive sets only. Selling them in this fashion allows us to price them competitively as well as ensure that their use follows the terms of our licensing agreement. This protects the value of your purchase and helps us to develop more new sets of stock icons in the future.

Can I modify the icons for my own use?

Yes, the licensing agreement allows the licensee to "alter, crop, manipulate and create derivative works of the Licensed Material." So you may edit an individual icon's color, lines etc. or combine icons of one size with others of different sizes to create all new icons for your project. You may NOT resell these derivative works, nor do you own rights to them. They remain the property of the Iconfactory and no ownership in them is transferred to the customer.

Do you still sell scalable EPS versions of your icon collections?

All collections at Stockicons.com now contain scalable PDF versions of every icon contained in the set. Previously, EPS sets were available for purchase separately, but now the new and improved PDF format comes bundled with all purchases at no extra cost.

Why do I get dark lines when scaling my icons down in Photoshop?

This is an occasional problem when scaling an EPS icon that contains a drop shadow. There are two workarounds: 1) Import the icon into Photoshop at the exact size that you need it; or, 2) Put the drop shadow into a separate layer from the rest of the icon and merge those layers only after scaling the icon.

I am a previous customer. Can I upgrade my existing collections?

Yes, all customers who have purchased stock icon collections from us in the past are entitled to upgrade their collections for free. We invite you to complete our online upgrade form as thoroughly as possible so that we may quickly process your upgrade, usually within 48 business hours.

Can I use the icons in multiple products or projects?

Yes. Once you purchase the license to use a stock set it can be used multiple times for any number of original projects. There are some exceptions however such as the stock icons cannot be incorporated into a logo or service mark or be used in templates that will be reissued or resold. Also, your purchased license cannot be sub-licensed, re-issued or re-assigned to third parties. If you have a client who wishes to make use of stock icons in their website or project, they must purchase a separate license themselves. Please see the full licensing agreement above for a full list of restrictions.

Can I use your stock icons in templates I'm going to sell?

No, this type of use is explicitly prohibited in the license agreement outlined at the top of this page. Stock icon licensees "may not include the Licensed Material in an electronic template intended to be reproduced by third parties on electronic or printed products."

Can I use your stock icons in an Open Source project?

No, this type of use is explicitly prohibited in the license agreement outlined at the top of this page. "This agreement does not allow for the use of Licensed Material in any existing BSD (Berkeley Systems Distribution) open source projects or applications."

Why are some families are no longer available?

Several of the families have been discontinued including Radiant, Xponential and Xpressionism. Discontinuing these sets allows us to focus on add-ons for existing families as well as new families yet to be created. To help offset the loss of these collections, we're pleased to announce that Isometric and One-Bit are now being offered free of charge and can be found at the bottom of the collections page.

Why do you have to verify every order before delivering the icons?

Unlike hard goods that are sold face to face, stock icons are electronic merchandise sold online all over the world. With the rise in credit card fraud in recent years, we instituted a policy to manually verify each and every order. This ensures that stock icons are delivered to actual, paying customers and not pirates who will re-distribute the products on the web. This helps keeps costs down and increases the value of your purchase. This policy has reduced fraud and has helped many individuals who were unaware that their credit card was being used for online purchases. The verification process can take up to one business day, but is usually completed within the first three hours after you make your purchase.
